1. Parties and scope
This framework applies to individual doctors, consultants and health practitioners, and to healthcare organisations (hospitals, clinics, laboratories, imaging centres, pharmacies and home care providers), each a "provider", working with HealTrip Plus LLC ("HealTrip") through the platform.
2. Independence
- The provider is an independent contractor; no agency, partnership or employment relationship is created.
- Clinical decisions belong to the provider alone. HealTrip does not interfere in diagnosis or treatment and never ties payment to the outcome of an opinion or to ordering a particular procedure.
3. Eligibility and verification
- Individuals need valid SCFHS professional classification and registration and must work within their licensed specialty. Organisations need a valid licence from the competent authority.
- Malpractice insurance as required by regulation.
- Documents are verified before activation, periodically, and against official sources where possible.
- Providers must tell HealTrip within 48 hours of any suspension, restriction or expiry of their licence or any material disciplinary action. Accounts are suspended automatically when a licence expires.
4. Professional profile
- Profile details (name, specialty, qualifications, experience, languages, prices) must be accurate, up to date and free of unverifiable claims.
- The provider grants HealTrip a non-exclusive, revocable, royalty-free licence to display the profile on the platform and its channels for the duration of the partnership only. Providers can edit their profile at any time, and it is removed within 30 days of the partnership ending, subject to records the law requires us to keep.
- We never use a provider's name, photo or logo in advertising outside the platform without written consent.
5. Clinical responsibilities
- Deliver services to professional and ethical standards and Saudi regulations, within the scope of the licence.
- In the Decision Room and second opinions: document the opinion, the sources reviewed and what remains uncertain; recommend in-person examination or further tests when needed; disclose any conflict of interest.
- Obtain informed consent appropriate to the service.
- Meet agreed response times and tell the patient and platform early if an appointment cannot be kept.
- Refer immediately to emergency services (997) when red flags appear.
6. Remote care and prescriptions
Remote care follows the rules in force in Saudi Arabia. Prescriptions are issued only through approved national systems, including Wasfaty and the Anaat practitioner platform, and only where permitted. Controlled medicines are prescribed only under their specific regulatory requirements.
7. Patient confidentiality
- Providers access only the cases assigned to them, and only as much as the service requires.
- Downloading, copying or sharing files outside the platform is prohibited except for legitimate care with the patient's consent. Patient data may never be used for marketing or contact unrelated to the case.
- Providers and any staff they give access to are bound by medical confidentiality and the Personal Data Protection Law, and providers remain responsible for their staff.
- Any actual or suspected breach or unauthorised access must be reported to HealTrip within 24 hours.
- Health data is hosted in Saudi Arabia and every file access is logged in an audit trail.
8. AI tools
The platform may provide AI-assisted summaries or file organisation. These are aids only: providers must check the original sources, remain responsible for their final opinion and must not copy AI output into a medical report without verification. See technology architecture.
9. Fees and settlement
- The signed contract and commercial schedule set out service prices, the platform commission or subscription, and the settlement cycle.
- Invoices are issued electronically in line with ZATCA requirements.
- Providers honour the prices shown to patients on the platform and never charge undisclosed extras.
- The refund rules in the beneficiary agreement apply, including a full refund to the patient if the provider cancels or does not attend.
10. Professional conduct
- Do not move cases that started on the platform to off-platform payment during the case, while fully respecting the patient's right to choose their doctor and place of care.
- Do not advertise products or services to patients through the platform without permission.
- No misleading information, impersonation or abuse of patients or staff.
- No attempts to breach the platform, bypass its security controls or scrape its data.
11. Quality and ratings
We track published quality indicators such as response times, report completeness and patient satisfaction. Providers can see their indicators, reply professionally to reviews and challenge any review that breaches the policy. Quality decisions are preceded by notice and a chance to respond, except where patient safety is at risk.
12. Account security
Accounts are personal and may not be transferred or shared. Providers must protect their login, enable two-factor authentication and tell us immediately of any suspected compromise. HealTrip staff will never ask for a password or verification code.
13. Liability and indemnity
- Providers are responsible for their professional practice, clinical decisions and staff.
- HealTrip is responsible for operating and securing the platform, protecting data within its control and its coordination obligations.
- Each party indemnifies the other for losses caused by its own breach or unlawful conduct, within the limits of the law and the signed contract.
- Neither party is liable for failures caused by force majeure beyond its reasonable control.
14. Suspension and termination
- Either party may end the partnership with 30 days' written notice.
- HealTrip may suspend immediately if a licence expires or is suspended, if patient safety is at risk, or for a serious confidentiality breach.
- On termination both parties ensure open cases continue or are safely handed over, and amounts due are settled in the next settlement cycle.
15. Intellectual property
The HealTrip brand, platform and content remain HealTrip's. Professional content created by the provider remains the provider's, subject to the licence in section 4. We may use feedback and suggestions to improve the platform without payment.
16. Law and disputes
The partnership is governed by the laws of the Kingdom of Saudi Arabia. The parties first try to resolve any dispute amicably within 30 days; failing that, the competent Saudi courts have jurisdiction, unless the signed contract provides for arbitration at the Saudi Center for Commercial Arbitration. This framework is issued in Arabic and English; the Arabic text prevails. We notify partners of material changes 30 days before they take effect.
